In 2018, three business minded friends had a brilliant business idea to distribute wine online across the US. Among them, they had experience in private equity, real estate and business development for an IT company. In their early stages of business planning, they realized that there were three vital areas in which they would need professional help if they wanted launch quickly and without making critical errors.
Learning about their business
After discussing their business concept with their attorney friend and sharing with him the areas where they clearly needed professional help, he explained that although this wasn’t his area of legal practice, he had business contact with the experience and expertise to probably be a good fit for them.
Finally meeting with the attorney (Jorge Salva) recommended by their lawyer friend, in the early discussions, after discussing their goals and requirements, they soon realized that without the right corporate and legal structure and an operating agreement adaptable to their future needs, that would clarify their roles and define their accountability, they would encounter regulatory problems and have difficulties meeting the expectations and requirements of potential investors. Without his professional help, they would lack the type of business plan needed to attract financing.
